By using this website, submitting a contact form, booking a strategy call, or entering into a service agreement with Adfix Agency Ltd., you confirm that you have read, understood, and agree to these Terms. These Terms apply to all visitors, leads, and clients.

Adfix Agency Ltd. provides the following professional digital marketing services:

• Search Engine Optimisation (SEO) - technical, on-page, and off-page
• Local SEO and Google Business Profile optimisation
• Google Ads (Search, Display, Shopping, Performance Max)
• Content writing and editorial strategy
• AI-powered web development and landing pages
• SEO audits and strategic consulting
• E-commerce SEO

The specific scope, deliverables, and timelines for each engagement are defined in the individual proposal or service agreement signed between Adfix and the client.

• Project-based work - A deposit of 50% is required before work begins. The remaining balance is due upon project completion before final delivery.
• Monthly retainers - Retainer fees are due on the 1st of each month (or as specified in the service agreement). Work will pause if payment is not received within 7 days of the due date.
• Accepted payment methods - Bank transfer, bKash, Payoneer, Wise, and other methods agreed upon in writing.
• Late payments - Invoices unpaid beyond 14 days of the due date may incur a late fee of 5% per month.
• Currency - Invoices are issued in the currency specified in the service agreement (BDT or USD by default).

• Deposits are non-refundable once work has commenced.
• If Adfix fails to deliver agreed milestones within a mutually agreed timeframe, the client may request a partial refund proportional to undelivered work.
• Monthly retainer fees are non-refundable for the current billing period. Cancellation takes effect at the end of the paid period.
• Refund requests must be submitted in writing to billing@adfixagency.com within 7 days of the disputed invoice.

• Deliverables - Upon full payment, the client owns all deliverables produced specifically for their project.
• Proprietary processes - Adfix retains ownership of its internal methodologies, templates, systems, and tools used to produce deliverables.
• Client assets - The client retains ownership of all pre-existing materials, logos, brand assets, and data they provide to Adfix.
• Portfolio rights - Unless otherwise agreed in writing, Adfix reserves the right to reference the client's name and results as a case study in our portfolio and marketing materials.

To ensure the successful delivery of services, clients agree to:

• Provide timely access to required accounts (website CMS, Google Search Console, Google Analytics, Google Ads, social media, etc.).
• Respond to requests for information, feedback, or approvals within 5 business days unless otherwise agreed.
• Ensure all content and materials provided to Adfix do not infringe third-party intellectual property rights.
• Not engage other agencies for the same scope of work without prior written notice to Adfix.
• Notify Adfix of any significant business changes (rebranding, website migration, new product launches) that may affect SEO strategy.

Search engine algorithms are operated by third parties (Google, Bing, etc.) and are outside Adfix's control. While we use proven, ethical, and data-driven methodologies, we cannot guarantee specific rankings, traffic levels, or revenue outcomes. Any projections or estimates provided in proposals are illustrative only and do not constitute a guarantee. Adfix will not be liable for ranking fluctuations caused by algorithm updates, competitor activity, or client-side changes.

To the maximum extent permitted by applicable law, Adfix Agency Ltd. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or website, including but not limited to lost revenue, lost profits, or data loss. Our total liability in any matter arising from a service engagement shall not exceed the total fees paid by the client in the three months preceding the claim.

• Client termination - Retainer agreements require 30 days' written notice to terminate. Project-based agreements may be terminated with 14 days' written notice; the client will be invoiced for work completed to date.
• Adfix termination - We reserve the right to terminate an engagement if the client breaches these Terms, engages in unethical practices, or fails to make payment after a grace period of 14 days.
• Upon termination - All outstanding invoices become immediately payable. Adfix will hand over all completed deliverables and revoke its access to client accounts within 5 business days.

Both parties agree to keep confidential all non-public business information shared during the course of the engagement, including but not limited to strategies, data, pricing, and client lists. This obligation survives termination of the service agreement for a period of 2 years.

• You agree not to use this website for any unlawful purpose or in a way that could damage, disable, or impair the website.
• You may not scrape, reproduce, or redistribute content from this website without prior written permission from Adfix Agency Ltd.
• We reserve the right to modify or discontinue any part of the website without notice.

These Terms are governed by the laws of the People's Republic of Bangladesh. Any disputes arising from these Terms or a service engagement shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the competent courts of Dhaka, Bangladesh.

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
